Terms of Service

1. Provider

Clean Backlog is operated by Fabian Eichfeldt, Margaretenweg 10, 95447 Bayreuth, Germany (hereinafter "we", "us", or "Provider"). Contact: info@clean-backlog.com.

2. Scope

These Terms of Service ("Terms") govern access to and use of the Clean Backlog web application and all related services available at clean-backlog.com ("Service"). By creating an account or using the Service you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

3. Service description

Clean Backlog is a software-as-a-service (SaaS) tool for asynchronous backlog triage. It allows teams to connect a Jira Cloud workspace, run voting sessions on backlog tickets, and optionally receive automated backlog health monitoring and notifications.

The Service is offered in two tiers:

  • Free — access to Jira integration, manual sessions, and up to three magic-link voters per session at no charge.
  • Pro — all Free features plus unlimited voters, backlog health statistics, automated monitoring, automatic session creation, and notification integrations (MS Teams, and others as they become available) for €179 per team per year.

We reserve the right to modify, extend, or discontinue features with reasonable advance notice.

4. Account registration

To create sessions you must register an account using a valid email address. You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Please notify us immediately at info@clean-backlog.com if you suspect unauthorised access.

Team members who vote via a magic link are not required to create an account.

5. Subscription and payment

Pro subscriptions are billed annually in advance at €179 per team. Prices are quoted exclusive of VAT where applicable. Payment is processed by Paddle (Paddle.com Market Ltd.), our authorised reseller and merchant of record. By purchasing a Pro subscription you also agree to Paddle's terms of service.

The subscription renews automatically at the end of each billing period unless cancelled before the renewal date. You can manage or cancel your subscription at any time through your account settings. No refunds are issued for unused portions of a billing period unless required by applicable law.

6. Right of withdrawal (EU consumers)

If you are a consumer resident in the European Union, you have the right to withdraw from this contract within 14 days of purchase without giving any reason. To exercise the right of withdrawal, notify us by email at info@clean-backlog.com before the 14-day period expires.

By requesting immediate access to the Service upon purchase you acknowledge that, once the Service has been fully performed, you lose your right of withdrawal in accordance with § 356 (5) BGB and Art. 16 (m) of the Consumer Rights Directive.

7. Acceptable use

You agree not to:

  • use the Service for any unlawful purpose or in violation of any applicable laws or regulations;
  • attempt to gain unauthorised access to other users' accounts, teams, or data;
  • reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service;
  • use automated means to scrape, crawl, or excessively load the Service;
  • resell or sublicense the Service without our prior written consent.

We reserve the right to suspend or terminate accounts that breach these rules.

8. Intellectual property

All intellectual property rights in the Service — including software, design, trademarks, and documentation — remain with us or our licensors. You retain all rights in your own data (Jira ticket IDs, vote results, and configuration) and grant us only the limited licence necessary to provide the Service.

9. Data protection

We process personal data in accordance with our Privacy Policy and applicable data protection law, in particular the EU General Data Protection Regulation (GDPR). The Service is hosted on servers located in Germany.

10. Availability and liability

We aim for high availability but do not guarantee uninterrupted access. The Service is provided "as is". To the extent permitted by law, our liability for material defects and indirect or consequential damages is excluded.

Statutory liability for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act remains unaffected.

11. Changes to these terms

We may update these Terms from time to time. If we make material changes we will notify you by email or by a prominent notice in the Service at least 30 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you may cancel your account before the effective date.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For contracts with merchants (Kaufleute), legal entities under public law, or special funds under public law, the exclusive place of jurisdiction is Bayreuth, Germany.

For consumers, the mandatory consumer-protection rules of the country in which the consumer is habitually resident also apply.

13. Dispute resolution

The European Commission provides an online dispute resolution platform: https://ec.europa.eu/consumers/odr/. We are not obliged and not willing to participate in dispute resolution proceedings before a consumer arbitration board.
